These Terms & Conditions ("Terms" or "Terms of Use") constitute a legally binding agreement between MANIKANYA ("MANIKANYA," "Company," "we," "us," or "our") and any natural or legal person who accesses, browses, registers on, places an order through, purchases from, or otherwise uses the website https://manikanya.com/ and all related webpages, mobile interfaces, applications, communications, products, services, features, content, and functionality made available by MANIKANYA (collectively, the "Platform" or "Services").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, Return, Exchange & Refund Policy, and any other policies, notices, guidelines, or terms published on the Platform from time to time, all of which are incorporated herein by reference.

3. User Registration and Account Obligations

4. Accuracy of Information

4.1 You represent and warrant that all information furnished by you, including your name, address, email address, telephone number, payment information, and delivery details, is true, accurate, complete, and lawful.

4.2 MANIKANYA shall not be responsible for any consequences arising from incorrect, incomplete, misleading, or outdated information supplied by you.

4.3 Any costs, losses, delays, failed deliveries, return charges, or damages arising from inaccurate information shall be borne exclusively by you.

5. Products and Product Information

5.1 MANIKANYA offers fashion jewellery, imitation jewellery, accessories, and related products through the Platform.

5.2 While MANIKANYA endeavors to display products as accurately as possible, you acknowledge that:

colors may vary due to display settings;
lighting conditions may affect appearance;
product images are illustrative;
packaging may vary;
minor variations in texture, finish, polish, dimensions, stones, embellishments, or craftsmanship may occur.

5.3 Such variations shall not constitute defects, deficiencies, or grounds for cancellation, return, exchange, refund, compensation, or legal claim.

5.4 Product descriptions, specifications, dimensions, pricing, availability, and other information are subject to correction, modification, or withdrawal at any time without prior notice.

5.5 MANIKANYA reserves the unrestricted right to discontinue any product, modify any product, substitute packaging, or limit the quantity of products offered to any customer, geographic region, or jurisdiction.

6. Orders and Order Acceptance

6.1 Submission of an order through the Platform constitutes an offer by you to purchase the products selected by you.

6.2 An order shall not be deemed accepted merely upon placement of the order or receipt of an automated order acknowledgment.

6.3 A binding contract shall arise only upon acceptance of the order by MANIKANYA.

6.4 MANIKANYA reserves the absolute and unconditional right to:

accept or reject any order;
cancel any order;
restrict order quantities;
request additional verification;
delay processing;
refuse service to any customer;
refuse orders suspected to be fraudulent, commercial, bulk, or abusive.

6.5 Orders may be cancelled by MANIKANYA for reasons including, without limitation:

stock unavailability;
pricing errors;
technical errors;
payment verification issues;
suspected fraud;
duplicate orders;
incorrect customer information;
courier limitations;
legal or regulatory restrictions;
force majeure events;
operational or inventory issues;
violation of these Terms.

6.6 In the event of cancellation by MANIKANYA after successful payment, the amount received by MANIKANYA shall be refunded in accordance with applicable law and the relevant payment mechanism.

7. Pricing, Taxes, and Billing

7.1 All prices displayed on the Platform are denominated in Indian Rupees (INR).

7.2 Prices are subject to change without prior notice.

7.3 The applicable price shall be the price displayed at the time of successful order placement.

7.4 Prices may exclude shipping charges, handling charges, COD charges, convenience fees, gift packaging charges, taxes, duties, or other applicable statutory levies unless expressly stated otherwise.

7.5 MANIKANYA reserves the right to correct pricing errors at any time, including after an order has been placed.

7.6 You agree to provide valid and authorized payment information and authorize MANIKANYA and its payment partners to process the payment for your order.

7.7 If a payment is declined, reversed, disputed, or charged back, MANIKANYA may cancel the order, suspend your account, recover associated costs, and pursue legal remedies where appropriate.

8. Promotional Offers and Discounts

8.1 Promotional offers, coupons, discounts, combo deals, free gifts, loyalty benefits, and campaign-based pricing are governed by separate promotional conditions.

8.2 Unless expressly stated otherwise:

promotional offers cannot be combined;
offers cannot be applied retrospectively;
missed promotional benefits cannot be added after checkout;
promotional products may be non-returnable and non-exchangeable.

8.3 MANIKANYA reserves the right to modify, withdraw, suspend, or cancel any promotional offer at any time without prior notice.

8.4 Any attempt to misuse promotional schemes, create multiple accounts, manipulate pricing, or engage in fraudulent promotional activity shall constitute a material breach of these Terms.

9. Payment Terms

9.1 Payments may be made through payment methods made available on the Platform.

9.2 By making a payment, you represent and warrant that:

you are authorized to use the payment instrument;
payment information provided is accurate and complete;
sufficient funds or credit are available;
the transaction is lawful.

9.3 Payment processing is performed by independent payment service providers. MANIKANYA shall not be liable for payment gateway failures, banking delays, transaction interruptions, declined transactions, or technical issues attributable to payment service providers.

9.4 MANIKANYA does not store complete credit or debit card information on its servers.

10. Shipping and Delivery

10.1 Shipping, dispatch, delivery timelines, and related matters are governed by the MANIKANYA Shipping Policy.

10.2 Delivery dates are estimates only and are not guaranteed.

10.3 MANIKANYA shall not be liable for delays arising from courier partners, weather conditions, public holidays, governmental actions, transportation disruptions, natural disasters, labor disturbances, operational interruptions, incorrect addresses, customer unavailability, or events beyond its reasonable control.

10.4 Risk of loss and responsibility for the shipment shall pass to you upon delivery of the order to the address provided by you.

10.5 You are responsible for ensuring the accuracy of the delivery address and availability to receive the shipment.

11. Returns, Exchanges, Refunds, and Cancellations

11.1 Returns, exchanges, refunds, and cancellations are governed exclusively by the MANIKANYA Return, Exchange & Refund Policy.

11.2 By placing an order, you expressly acknowledge that you have read and accepted the Return, Exchange & Refund Policy.

11.3 No return, exchange, refund, replacement, compensation, or store credit shall be granted except in strict accordance with the applicable policy.

11.4 MANIKANYA reserves the right to reject any return or exchange request that does not comply with the conditions specified in the applicable policy.

12. Intellectual Property Rights

12.1 All intellectual property rights in and relating to the Platform, including without limitation:

trademarks;
trade names;
logos;
brand names;
product names;
designs;
artwork;
photographs;
videos;
graphics;
text;
product descriptions;
software;
source code;
databases;
website layout;
user interface;
packaging designs;

are owned by or licensed to MANIKANYA and are protected under applicable copyright, trademark, design, and intellectual property laws.

12.2 No license or right is granted to you except the limited right to access and use the Platform for personal, non-commercial purposes.

12.3 You shall not, without prior written consent of MANIKANYA:

copy;
reproduce;
distribute;
republish;
modify;
reverse engineer;
scrape;
download;
commercially exploit;
create derivative works;
use any content for competing businesses.

12.4 Unauthorized use of any intellectual property belonging to MANIKANYA may result in civil and criminal proceedings.

13. Limited License

13.1 Subject to compliance with these Terms, MANIKANYA grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for personal shopping purposes.

13.2 This license shall automatically terminate upon any breach of these Terms.

14. User-Generated Content and Feedback

14.2 By submitting any content, you irrevocably grant MANIKANYA a perpetual, worldwide, royalty-free, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, translate, promote, advertise, and otherwise commercially exploit such content in any medium.

14.3 You represent and warrant that:

you own or control all rights in the content;
the content is lawful and accurate;
the content does not infringe any third-party rights;
the content is not defamatory, obscene, abusive, fraudulent, or misleading.

14.4 MANIKANYA may remove, edit, refuse, or moderate any content at its sole discretion without notice.

15. Prohibited Uses

You shall not use the Platform:

for any unlawful purpose;
to violate any applicable law;
to infringe intellectual property rights;
to transmit malicious software;
to engage in hacking or unauthorized access;
to scrape data;
to interfere with website security;
to manipulate reviews or ratings;

17. Disclaimer of Warranties

17.1 To the maximum extent permitted by applicable law, the Platform and all products and services are provided "AS IS" and "AS AVAILABLE."

17.2 MANIKANYA expressly disclaims all warranties and representations, whether express, implied, statutory, or otherwise, including warranties of:

merchantability;
fitness for a particular purpose;
non-infringement;
uninterrupted availability;
accuracy;
reliability;
security;
compatibility;
durability;
error-free operation.

17.3 MANIKANYA does not warrant that:

the Platform will operate continuously;
the Platform will be free from errors;
the Platform will be secure;
the Platform will be free from viruses or malware;
products will exactly match their digital representations;
delivery timelines will always be achieved.

18. Limitation of Liability

18.1 To the fullest extent permitted by law, MANIKANYA and its owners, directors, officers, employees, affiliates, agents, contractors, licensors, service providers, and partners shall not be liable for any:

18.2 In no event shall the aggregate liability of MANIKANYA exceed the amount actually paid by you for the specific product giving rise to the claim.

19. Indemnification

20. Force Majeure

you have engaged in fraudulent activity;

you have submitted false information;
you have caused harm to MANIKANYA or other users;
continued access poses legal, operational, or security risks.

21.2 Termination shall not affect rights and obligations accrued prior to termination.

22. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, such provision shall be severed to the extent necessary, and the remaining provisions shall remain valid and enforceable.

23. Waiver

Failure by MANIKANYA to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

24. Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Return, Exchange & Refund Policy, and all other policies published on the Platform, constitute the entire agreement between you and MANIKANYA and supersede all prior communications, negotiations, understandings, and agreements relating to the subject matter herein.

25. Assignment

You may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms without the prior written consent of MANIKANYA.

MANIKANYA may assign or transfer its rights and obligations under these Terms without restriction and without prior notice.

26. Governing Law and Jurisdiction

26.1 These Terms shall be governed by and construed in accordance with the laws of India.

26.2 Any dispute, claim, controversy, or proceeding arising out of or relating to these Terms, the Platform, any order, any transaction, or any product shall be subject to the exclusive jurisdiction of the competent courts located in Vadodara, Gujarat, India, and you irrevocably submit to such jurisdiction.
